Terms & Conditions

These Terms and Conditions govern your access to and use of this Service and the commercial agreement between You and Novark Ventures LLP. By accessing or using the Service, submitting Requests for Quotes (RFQs), or communicating with our trade desks, you agree to be bound by these Terms.

You represent that you are at least 18 years of age. Novark Ventures LLP does not permit individuals under 18 to use the Service.

Your access to and use of the Service is also subject to our Privacy Policy, which outlines how we collect, process, and protect commercial records and personal data.

One-Time Payments Only: Clients, buyers, and enterprises may purchase goods, sample dispatches, manufacturer audit retainers, or procurement services on a one-time payment basis only. We do not operate any recurring subscriptions, continuous memberships, or automatic recurring debit models.

Invoicing & Currencies: All commercial orders are formalized through detailed proforma invoices or formal purchase agreements. Fees, deposits, and settlement milestones are quoted in agreed international currencies (such as USD, EUR, or INR) and are payable via international bank wire transfers (SWIFT / TT), verified Letters of Credit (LC), or authorized payment gateways.

Customs, Tariffs & Taxes: Unless explicitly agreed in writing under designated Incoterms 2020 definitions (e.g., CIF, DDP), the client remains solely responsible for all import duties, customs clearance tariffs, port demurrage, and local destination taxes.

The Service and its entire original content, visual design, brand assets, trade dress, and technology are and will remain the exclusive property of Novark Ventures LLP and its licensors.

This exclusive ownership encompasses, without limitation:

• The corporate brand name Novark Ventures and the registered trademark NK®.
• All website typography, color schemes, custom UI components, graphic layouts, and interactive 3D globe models.
• All copywriting, sector dossiers, product category architectures, and trade corridor guides.
• All underlying software source code, styling scripts, and metadata structures.

You may not download, scrape, duplicate, modify, distribute, publish, or reverse-engineer any intellectual property from this Service without our explicit prior written consent.

Novark Ventures LLP values client suggestions, operational feedback, and market inquiries. If you provide any feedback, feature suggestions, process recommendations, or trade ideas regarding our Service or procurement workflows:

• You grant Novark Ventures LLP a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, transferable license to use, reproduce, modify, implement, display, and commercialize such feedback in any form or media.
• We may implement any feedback or suggestions received without restriction, financial obligation, confidentiality commitments, or attribution to you.

NOVARK VENTURES LLP acts as an independent buying agent and procurement outsourcing partner connecting international commercial buyers with verified Indian manufacturing clusters.

All factory audits, technical specifications, price negotiations, and pre-shipment inspections (including AQL II sampling) are performed in accordance with mutual commercial contracts executed for each trade consignment. Factory inspection reports reflect findings at the precise date and time of audit.

Our Service may contain links to third-party portals, port authorities, customs trackers, or corporate social media channels (such as LinkedIn, Instagram, X, and Facebook).

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Accessing external platforms is done solely at your own risk.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions or engage in fraudulent, defamatory, or abusive conduct.

The Service is provided to You on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind. To the maximum extent permitted under applicable law, Novark Ventures LLP expressly disclaims all warranties, whether express, implied, statutory, or otherwise.

In no event shall the Company, its partners, or affiliates be liable for any special, incidental, indirect, or consequential damages whatsoever (including damages for loss of profits, business interruption, or data corruption) arising out of the use or inability to use the Website.

The entire aggregate liability of the Company under any provision of these Terms shall be limited to the amount actually paid by You through the Service or 100 USD, whichever is greater.

These Terms and Conditions, and any commercial claim or dispute arising out of or related to your use of the Service, shall be governed by and construed in accordance with the substantive laws of Karnataka, India, excluding its conflict of law principles.

If You have any concern or dispute about the Service, You agree to first attempt resolution through good-faith informal negotiations by contacting the Company.

If informal resolution fails, the parties irrevocably submit to the exclusive jurisdiction of the competent courts of Bangalore, Karnataka, India for the determination of any legal proceedings.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to accomplish its objectives to the greatest extent possible, and the remaining provisions will continue in full force and effect.

These Terms and Conditions, together with our Privacy Policy and any executed procurement service contracts, constitute the entire agreement between You and Novark Ventures LLP regarding the Service.
